2) The Service
ReputationKit provides tools that help businesses collect customer feedback and encourage customers to leave reviews or engage with the business through shareable links, QR flows, and related content (“Assets”). The Service may evolve over time.
3) Eligibility and account
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for safeguarding your credentials and all activity under your account.
- You must provide accurate information and keep it up to date.
- If you use the Service for a company, you represent you have authority to bind that entity to these Terms.
4) Acceptable use
You agree not to misuse the Service. In particular, you must not:
- Use the Service to break any law or infringe the rights of others.
- Upload, send, or store unlawful, harmful, deceptive, defamatory, or abusive content.
- Attempt to bypass security, probe the Service, or interfere with its operation.
- Send spam or unsolicited communications.
- Use the Service in a way that violates third-party platform rules.
You remain solely responsible for your use of the Service and your content.
5) Reviews and platform policies (important)
ReputationKit is designed to help you request feedback and reviews in a compliant way. You agree you will not:
- Offer incentives in exchange for reviews where prohibited by law or platform rules.
- Misrepresent customers or fabricate reviews.
- Harass customers or pressure them into leaving a positive review.
You are responsible for ensuring your flows, messages, and incentives comply with applicable laws and platform policies.
6) Subscriptions, trials, and billing
Certain features require a paid subscription. Plan details, pricing, and included limits are described on the pricing page and/or within the app.
- Trials: If a trial is offered, its duration and conditions are shown at checkout or inside the app. Unless stated otherwise, trials may require a payment method.
- Renewals: Subscriptions renew automatically unless you cancel before the renewal date.
- Authorization: You authorize charges for applicable fees and taxes using your selected payment method.
- Failed payments: If payment cannot be processed, we may restrict access until resolved.
7) Cancellation and refunds
- You can cancel at any time through your account settings (when available) or by contacting support via the website form.
- Cancellation generally takes effect at the end of your current billing period unless stated otherwise.
- Fees are non-refundable except where required by law or explicitly stated in a written refund policy.
8) Usage limits (if applicable)
Some plans may include usage limits or credits (for example, messaging credits or generation limits). Limits and rules are shown in the app and may vary by plan.
- Credits may reset on a subscription cycle and may expire unless otherwise stated.
- We may adjust rules to prevent abuse and ensure fair usage.
9) Content, assets, and intellectual property
- Your content: You retain ownership of content you submit. You grant us a limited license to host and process it to provide the Service.
- Generated assets: You are responsible for ensuring you have rights to inputs and for lawful use of outputs.
- Our IP: The Service (software, design, trademarks, documentation) is owned by IHTConsulting or its licensors and is protected by law.
10) Third-party services
The Service may integrate with or link to third-party services. Those services may have their own terms and policies. We are not responsible for third-party services, and your use of them is at your own risk.
11) Privacy and data protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring you have a lawful basis to upload or process any personal data you provide (such as customer contact details).
If you use the Service for business purposes, you may need a data processing agreement (DPA) depending on your situation.
12) Disclaimers and limitation of liability
The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation, or any specific business outcome (including any specific number of reviews, rankings, or revenue).
To the maximum extent permitted by law, we are not liable for indirect or consequential damages. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service during the three (3) months preceding the event giving rise to the claim.
13) Suspension and termination
We may suspend or terminate access if you breach these Terms, if your use creates a security risk, if payment issues remain unresolved, or if required by law. Upon termination, your right to use the Service ends immediately.
14) Changes to the Service or Terms
We may update the Service and these Terms from time to time. If changes are material, we will provide reasonable notice by updating the “Last updated” date and/or notifying you within the Service. Continued use means you accept the updated Terms.
15) Governing law and jurisdiction
These Terms are governed by the laws of France. Any dispute will be subject to the exclusive jurisdiction of the competent courts of Paris, France, except where mandatory consumer protection rules apply.
